Terms at a Glance

1.About PIEDAP and Scope of These Terms

PIEDAP is owned and operated by Pion Global Private Limited ("Pion Global", "we", "us" or "our"). PIEDAP is Pion Global's AI-powered Enterprise Innovation Ecosystem that connects specialized platforms, shared AI capabilities, workflow automation, analytics, integrations and governance services to support enterprise transformation, assurance and operational execution.

These Terms apply to the PIEDAP website at www.piedap.io, PIEDAP-hosted or customer-specific environments, and PIEDAP-connected services where these Terms are displayed, incorporated by reference or otherwise accepted. They also apply, where indicated, to APIs, developer services, partner interfaces, sandboxes, documentation and shared ecosystem capabilities. A specific platform, subscription, customer environment or partner program may be subject to additional terms.

2.Acceptance, Eligibility and Authority

By accessing, registering for, purchasing, trialling or using a covered Service, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization.

• You must be at least 18 years old and legally capable of entering into a binding agreement.
• PIEDAP is primarily intended for business, professional and enterprise use.
• You must comply with applicable laws, organizational policies and the permissions granted to you by the relevant customer or account administrator.
• If you do not agree to these Terms, you must not access or use the applicable Service.

3.Accounts, Identity and Administrative Access

Certain Services require an account or organization workspace. You are responsible for the accuracy of registration information, confidentiality of credentials and activities performed through your account or credentials.

• Use unique credentials and strong passwords, and enable multi-factor authentication where available or required.
• Do not share passwords, API keys, tokens or service credentials outside approved enterprise access-management processes.
• Promptly notify Pion Global of suspected unauthorized access, credential compromise or account misuse.
• Customer administrators are responsible for user provisioning, role assignment, permissions, access reviews and timely removal of users who no longer require access.
• Pion Global may restrict access where identity, security, licensing, payment or compliance issues create a reasonable risk.

4.Limited Right to Use the Services

Subject to these Terms and any applicable subscription or signed agreement, Pion Global grants authorized users a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the applicable Services for authorized internal business purposes during the permitted subscription, trial or evaluation period.

No ownership rights in PIEDAP, its platforms or underlying technology are transferred to you.

5.Acceptable Use and Prohibited Conduct

Use of PIEDAP is subject to the PIEDAP Acceptable Use Policy and any additional platform-specific usage rules. Without limiting that policy, you must not use the Services to:

• gain or attempt to gain unauthorized access to PIEDAP, another customer, another account, connected systems, data or networks;
• introduce malware, harmful code, ransomware, denial-of-service traffic or other disruptive content or activity;
• conduct penetration testing, vulnerability scanning, fuzzing, stress testing, exploitation or other security testing without prior written authorization from Pion Global. The Responsible Vulnerability Disclosure Policy provides a reporting channel for vulnerabilities discovered during legitimate use and does not itself authorize security testing;
• reverse engineer, decompile, disassemble or attempt to derive source code, models, algorithms, prompts, non-public APIs or security mechanisms except to the extent such restriction is prohibited by law;
• scrape, harvest, replicate or extract data beyond documented or authorized functionality;
• evade rate limits, subscription limits, audit controls, licensing restrictions, identity controls or usage monitoring;
• use PIEDAP for unlawful, fraudulent, deceptive, discriminatory, abusive or rights-infringing activity; or
• use AI-assisted functionality in a manner prohibited by applicable law, customer policy or the applicable AUP.

6.Customer Responsibilities

Customers remain responsible for how they configure and use PIEDAP, the users they authorize and the data they submit. Unless a signed agreement expressly states otherwise, the Customer is responsible for:

• determining that its use case is lawful and appropriate;
• obtaining required notices, permissions, consents, approvals and legal bases for Customer Data;
• configuring roles, workflows, retention settings, integrations and security controls appropriate to its environment;
• reviewing AI outputs, assessment results, compliance insights, project forecasts, quality results, consent workflows and people analytics before material reliance;
• maintaining lawful and accurate source data and ensuring that connected systems are authorized for integration; and
• ensuring that users comply with these Terms, the AUP and the Customer's own internal policies.

7.Customer Data and Data Ownership

As between the parties, the Customer retains all rights, title and interest in data, content, records, documents, prompts, files, configurations and other information submitted to or generated from Customer use of the Services to the extent such rights exist ("Customer Data").

The Customer grants Pion Global a limited right to host, copy, transmit, transform, analyze and otherwise process Customer Data only as reasonably necessary to provide, secure, maintain, support and improve the contracted Services, to comply with documented customer instructions, or as otherwise expressly permitted by the applicable agreement.

Except where expressly agreed in writing, enabled by the Customer under applicable feature terms, or otherwise permitted by documented customer instruction, Pion Global will not use Customer Personal Data to train shared or general-purpose AI models. Product telemetry and de-identified or aggregated information may be used for security, reliability, capacity planning, service improvement and analytics where permitted by applicable law and contract.

8.Confidentiality

Each party may receive non-public business, technical, security, product, pricing, operational or other confidential information from the other. The receiving party must use reasonable care to protect Confidential Information, use it only for permitted purposes, and disclose it only to persons who need it and are bound by appropriate confidentiality obligations.

Confidentiality obligations do not apply to information that the receiving party can demonstrate was lawfully known without restriction, independently developed, lawfully received from a third party without duty of confidentiality, or publicly available without breach. Legally compelled disclosures may be made subject to applicable notice requirements and protections.

9.Privacy and Data Protection

Use of PIEDAP is subject to the PIEDAP Privacy Policy and, where applicable, a Data Processing Agreement or other contractual privacy terms. Depending on the processing context, Pion Global may act as a Data Fiduciary/controller for its own business and account activities or as a Data Processor/processor/service provider when processing Customer Personal Data on documented customer instructions.

Customers are responsible for determining whether Customer Data contains personal data, sensitive or regulated information and for ensuring that appropriate notices, lawful bases, contractual safeguards and internal approvals are in place.

10.Security Responsibilities

Pion Global maintains security measures designed to protect PIEDAP in accordance with applicable agreements and its security program. Security is a shared responsibility. Customers and users must safeguard credentials, maintain appropriate access controls and avoid configurations or integrations that expose Customer Data or systems unnecessarily.

Suspected vulnerabilities should be reported through Pion Global's Responsible Vulnerability Disclosure process or another designated security channel. Unauthorized security testing is prohibited.

11.AI-Enabled Features, Outputs and Human Oversight

PIEDAP may provide AI-assisted and agentic features such as copilots, agents, summaries, classifications, recommendations, assessments, risk signals, planning suggestions, generated artifacts, analytics and automated workflow actions. AI Output can be incomplete, probabilistic, context-dependent or incorrect and must be used with appropriate human oversight.

• AI Output is provided as decision support and does not replace professional judgment, accountable human review or customer-specific validation.
• You must evaluate AI Output before using it for legal, regulatory, employment, financial, security, safety-critical or other high-impact decisions.
• You must not assume that AI Output constitutes legal advice, certification, audit approval, regulatory approval or a guarantee of business outcomes.
• You are responsible for the prompts, source data, instructions and decisions made from AI Output within your organization.
• Third-party AI providers, where used, may be subject to additional security, privacy and contractual safeguards as described in applicable agreements or subprocessor information.
• Where applicable law requires transparency about AI interactions or AI-generated content, Pion Global will implement platform-level disclosures within its control, and Customers are responsible for deployment-specific notices within their own use cases.
• AI features must not be used to make unlawful, deceptive, discriminatory or otherwise prohibited decisions. High-impact decisions require appropriate human review and compliance with applicable law.
• Customers must not intentionally use PIEDAP AI capabilities to create unlawful impersonation, deceptive synthetic content, prohibited biometric or surveillance use cases, or other content restricted by applicable law or the Acceptable Use Policy.

12.Platform-Specific Terms and Functional Disclaimers

The following provisions describe important limitations associated with the principal PIEDAP platforms. Platform-specific terms, documentation or signed customer agreements may add further requirements.

13.APIs, Developer Portal, Webhooks and Integration Tools

PIEDAP may expose APIs, webhooks, SDKs, connectors, sandbox environments, developer documentation, sample code and integration tools. Access may require separate credentials, scopes, subscription entitlements or developer registration.

• Keep API keys, tokens, client secrets and certificates secure and rotate them when compromise is suspected.
• Use only documented or expressly authorized endpoints and permissions.
• Comply with applicable rate limits, payload limits, concurrency limits, data limits and technical controls.
• Do not use APIs to scrape, mirror, resell or build a substitute service outside the rights granted to you.
• Pion Global may version, deprecate or replace APIs and will provide notice where commercially reasonable or contractually required.
• Illustrative examples in public documentation do not create a commitment that a specific endpoint or feature is generally available.

14.Third-Party Services and External Integrations

PIEDAP may interoperate with third-party software, cloud services, identity providers, DevOps tools, enterprise applications, AI providers, data sources and other services selected by Pion Global or the Customer. Third-party services are subject to their own terms, licenses, availability and privacy practices.

Pion Global is not responsible for third-party services outside its reasonable control. The Customer is responsible for authorizing integrations and ensuring it has rights to transmit data to and from connected systems.

15.Partner Ecosystem

PIEDAP may support implementation partners, integration partners, technology partners, consultants, resellers, referral partners or other ecosystem participants. Participation in a partner program may require a separate partner agreement, certification, security review or onboarding process.

Partners with access to Customer Data or customer environments must comply with applicable confidentiality, security, data-protection and customer-authorization requirements.

16.Deployment Models and Customer Environments

PIEDAP or its platforms may be delivered through shared SaaS, dedicated SaaS, customer-specific cloud environments, private connectivity, hybrid configurations, or customer-managed/on-premises deployment where specifically offered and contracted. Features, hosting regions, support responsibilities, security controls, upgrade models, data residency options and availability commitments may differ by deployment model and are governed by the applicable order form, architecture document, security schedule or statement of work.

17.Subscription Metrics, Usage Limits and Fair Use

Use may be subject to licensed quantities or technical limits such as authorized users, entities, sites, platforms, modules, environments, storage, transactions, assessments, API calls, automation runs, AI usage or other consumption measures identified in an order form or service documentation.

Pion Global may apply reasonable technical controls to protect service integrity, security and fair use. Material or persistent overuse may require a plan upgrade, additional fees, throttling or other remediation consistent with the applicable agreement.

18.Trials, Proofs of Concept, Beta and Preview Features

Trial, proof-of-concept, beta, preview, early-access and sandbox features may be limited, experimental, unsupported or changed without notice. Unless expressly authorized, they should not be used for production workloads, irreversible transactions, regulated data, mission-critical decisions or high-impact operational reliance.

Pion Global may end or modify an evaluation at any time, subject to any written evaluation agreement.

19.Fees, Invoicing and Taxes

Paid Services are subject to the fees, billing terms, payment schedule, currency, taxes and renewal provisions in the applicable order form or signed agreement. Failure to pay undisputed amounts when due may result in suspension or termination as permitted by the applicable agreement.

Unless expressly stated otherwise, fees are exclusive of applicable taxes, duties or government charges, which are the Customer's responsibility except taxes based on Pion Global's net income.

20.Support, Service Levels and Professional Services

Support, response targets, uptime commitments, maintenance windows, service credits, implementation services, consulting, training and managed services are governed by the applicable subscription plan, SLA, Statement of Work or support policy. Public website descriptions do not create an SLA unless expressly incorporated into a signed agreement.

21.Availability, Maintenance and Service Changes

Pion Global works to maintain reliable Services, but uninterrupted or error-free operation is not guaranteed except to the extent expressly stated in an SLA. Services may be unavailable because of planned maintenance, emergency maintenance, third-party dependencies, security events, force majeure or circumstances outside reasonable control.

Pion Global may improve, modify, replace or discontinue features. For material changes affecting paid Services, Pion Global will provide notice where required by contract or commercially reasonable in the circumstances.

22.Monitoring, Logs and Service Telemetry

Pion Global may process usage logs, audit trails, performance telemetry, security events, API activity, automation events and other operational information to provide, secure, troubleshoot, support and improve the Services. Where permitted by law and contract, Pion Global may use aggregated or de-identified operational data for capacity planning, reliability analysis, security, product analytics and service improvement.

Customers should not disable or tamper with audit, security, licensing or integrity controls unless expressly authorized.

23.Intellectual Property Rights

All rights, title and interest in PIEDAP, its platforms, shared ecosystem services, software, source code, object code, workflows, user interfaces, designs, models, algorithms, agents, Pion Global-created prompts, templates, connectors, APIs, documentation, trademarks and related technology are owned by Pion Global or its licensors, except for Customer Data and third-party materials. These rights are protected by applicable intellectual-property laws.

Except for the limited rights expressly granted, no license or ownership interest is transferred. You may not copy, modify, distribute, sell, sublicense, create derivative works from or commercially exploit PIEDAP except as expressly permitted in writing.

24.Feedback and Suggestions

If you voluntarily provide ideas, enhancement requests, recommendations or other feedback about PIEDAP, you grant Pion Global a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or payment, provided that Pion Global does not disclose Customer Confidential Information in doing so.

25.Third-Party and Open-Source Components

PIEDAP may include or interact with third-party or open-source components. Those components may be subject to separate license terms, notices or attribution requirements. To the extent a third-party license expressly governs a component and conflicts with these Terms, the applicable third-party license controls that component.

26.Suspension and Protective Actions

Pion Global may temporarily restrict, throttle, disable integrations, quarantine content or suspend access where reasonably necessary to:

• respond to a security incident, vulnerability, compromise or threat;
• prevent material harm to PIEDAP, customers, users or third parties;
• investigate suspected unlawful activity or violation of these Terms or the AUP;
• comply with a legal or regulatory requirement;
• address non-payment where permitted by the applicable agreement; or
• perform emergency maintenance or preserve service integrity.

Where practicable, Pion Global will limit protective action to the affected account, feature, integration or environment and will restore access when the underlying issue is resolved.

27.Termination and Effect of Termination

Termination rights for paid Services are governed primarily by the applicable signed agreement. Where no signed agreement applies, Pion Global may terminate or restrict access for material breach, unlawful use, security risk, non-payment, misuse, extended inactivity or where continued provision is not reasonably possible.

Upon termination, rights to access the affected Services end. Customer Data will be handled according to the applicable agreement, Privacy Policy, DPA, retention schedule and any communicated data-export or retrieval period. Pion Global may retain information where required by law, security, dispute resolution or legitimate recordkeeping obligations.

28.Disclaimers

Except to the extent expressly stated in a signed agreement, PIEDAP and its Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Pion Global disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability and error-free operation.

Pion Global does not warrant that the Services, AI Output, assessment results, project forecasts, testing results, compliance insights, consent workflows, people analytics or generated recommendations will be complete, error-free, suitable for every context or sufficient to satisfy legal, regulatory, audit, certification, employment or business requirements. PIEDAP provides technology and decision support and does not constitute legal, regulatory, tax, financial, medical, employment or other professional advice.

29.Limitation of Liability

To the maximum extent permitted by applicable law and except where a signed agreement states otherwise, Pion Global will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill, business opportunity or anticipated savings arising from use of or inability to use the Services.

Unless prohibited by law or superseded by a signed agreement, Pion Global's aggregate liability arising from or relating to these Terms will not exceed the fees paid by the Customer for the affected PIEDAP Services during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

30.Indemnification

To the extent permitted by law and subject to any signed agreement, you agree to defend, indemnify and hold harmless Pion Global and its affiliates, officers, employees and agents from third-party claims, losses, liabilities, damages and reasonable costs arising from your unlawful or unauthorized use of the Services, your breach of these Terms or the AUP, or Customer Data that infringes third-party rights.

31.Compliance with Laws

Each party is responsible for complying with laws applicable to its activities under these Terms. Customers must not use PIEDAP in violation of privacy, data-protection, AI, employment, intellectual-property, anti-bribery, sanctions, export-control, cybersecurity, consumer-protection or other applicable laws.

Where a feature supports regulatory, audit or standards-related activities, the Customer remains responsible for determining the requirements that apply to its organization and for obtaining professional or legal advice where appropriate.

32.Force Majeure

Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil disturbance, government action, widespread network or cloud failure, labor disruption, epidemic, utility failure or other force-majeure events, except for payment obligations already due unless otherwise provided by law or agreement.

33.Assignment

You may not assign or transfer these Terms or rights to the Services without Pion Global's prior written consent, except as permitted by a signed agreement. Pion Global may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of substantially all relevant assets or transfer to an affiliate, subject to applicable law and contractual commitments.

34.Notices and Electronic Communications

Operational notices may be delivered by email, in-product notice, support portal, account notification or website posting as appropriate. Formal legal notices must be delivered in the manner required by the applicable signed agreement or, if none applies, to the contact details stated in these Terms.

By using the Services, you agree to receive service-related electronic communications. Marketing communications are handled separately and may be opted out of where applicable.

35.Changes to These Terms

Pion Global may update these Terms to reflect changes in Services, architecture, law, security practices or business operations. The revised version will display an updated "Last Updated" date. Material changes may also be communicated through email, in-product notice or contractual channels where appropriate.

For paid enterprise Services governed by a signed agreement, any contractual change-control, renewal or notice process in that agreement will apply and these website Terms will not unilaterally amend negotiated commercial terms.

36.Dispute Resolution

Before commencing formal proceedings, the parties will attempt in good faith to resolve a dispute through authorized representatives for at least thirty (30) days after written notice, unless urgent injunctive or protective relief is reasonably required.

Where no signed agreement provides a different dispute process, unresolved disputes arising from these Terms will be referred to binding arbitration seated in Bengaluru, Karnataka, India, conducted in English in accordance with applicable Indian arbitration law. Either party may seek interim or injunctive relief from a court of competent jurisdiction to protect confidentiality, intellectual property, data, security or other rights requiring urgent protection.

37.Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the arbitration provision and any mandatory rights that cannot be waived, the courts in Bengaluru, Karnataka, India will have jurisdiction over matters requiring court intervention.

38.General Legal Terms

• Severability: If a provision is held invalid or unenforceable, the remaining provisions remain effective and the invalid provision will be interpreted as closely as permitted to its intended effect.
• No waiver: Failure to enforce a provision does not waive the right to enforce it later.
• Independent parties: These Terms do not create a partnership, joint venture, employment, fiduciary or agency relationship between the parties.
• No third-party beneficiaries: Unless expressly stated, these Terms do not create enforceable rights for third parties.
• Headings: Section headings are for convenience and do not alter interpretation.
• Entire terms for general access: These Terms and incorporated policies govern general PIEDAP access and use, subject to any signed agreement, order form, DPA, SLA, platform-specific term, partner agreement or developer/API agreement that governs the same subject matter.
